A person who has a registered an Alaska DBA can stop someone from using a name that is not distinguishable from his/hers, and sue in a civil action lawsuit if he/she does not stop using it. A DBA cannot contain "corporation," "LLC," "limited partnership," or "limited liability partnership," nor can it contain "city," "village," or otherwise imply the business is a government agency. A DBA also cannot be vulgar or obscene. Words that are used to identify goods and services, words that are used as slogans, or words that are used to identify association with an organization are considered to be a trademark or service mark and not a DBA.
There are certain things that are necessary when filing a DBA. The owner's name and address (which includes each person having an interest in the business) along with the business name and address are required. For a corporation, the principal office address is required. Also, there is a box that needs to be checked that states that 5% or more of the shareholders and alien affiliates filed with the recent biennial report is correct. In addition, a brief statement that the owner is doing business and the nature of the business is required.
From a procedural standpoint, one must file with the Commissioner each DBA that is used and pay a fee set up by the department. A signature is then required from the owner of the business, the president or vice-president of the corporation, the general partner of a limited partnership, member or an LLC, or the general partner of a limited liability partnership.
The year of registration is considered a full year of registration, and registration valid for 5 years. To register a DBA the name must be in use in advertising, on accounts of record, on licenses and permits, stationary, or similar means of publicly identifying the name of a company. Also note that a DBA may be renewed every five years if an application for renewal is filed and extends for another 5 years. An application for renewal must set out the facts required in an original application for registration and be accompanied by a renewal fee to be established by the department by regulation and may be filed between October 1 and December 31 of any year. A certificate of existence can be filed with the DBA for businesses that are not formed in Alaska or do business in Alaska to protect their DBA.
