In Tennessee, corporate names may not imply the business:

• Transacts or has power to transact any business for which authorization is required, unless authorization has been granted and certified in writing

• Is organized as, affiliated with, or sponsored by, any fraternal, veterans', service, religious, charitable, or professional organization, unless that fact is certified in writing

• Is an agency or instrumentality of the United States or the state of Tennessee, unless such fact is certified in writing by the appropriate official

Names which are not distinguishable from the names of other business entities are also prohibited.

For corporations, one must provide the true corporate name, the state or country under the laws of which it is organized, a statement that it intends to transact business under an assumed corporate name, and the assumed corporate name which it proposes to use. For an LLC, one must provide the true LLC name, the state or country under the laws of which it is organized, a statement that it intends to transact business under an DBA, and the DBA which it proposes to use. For limited liability partnerships (exclusive use of name), one must provide the name and address of the applicant, and the name proposed to be reserved.

An LLC may reserve or use no more than five (5) DBAs during the same period. For a corporation or LLC, a DBA in Tennessee expires in five (5) years from the date of filing. For a limited liability partnership, exclusive use expires after four (4) months.

To renew a corporation, one must file within the two (2) months preceding expiration, which will renew it for a period of five (5) years. To renew an LLC, one must file within the two (2) months preceding expiration, which renew it for a period of five (5) years. A corporation may change or cancel DBAs by filing setting forth:

• The true corporate name

• The state or country under the laws of which it is organized

• That it intends to cease transacting business under an assumed corporate name by changing or canceling it

• The assumed corporate name to be changed from or cancelled

• If the assumed corporate name is to be changed, the assumed corporate name which the corporation proposes to use

For cancellations, an LLC application must set forth the true LLC name, the state or country under the laws of which it is organized, that it intends to cease transacting business under an DBA by changing or canceling it, the DBA to be changed from or cancelled, and if the DBA is to be changed, the assumed LLC name which the LLC proposes to use.
