UTAH STATUTORY GUIDELINES

In Utah, a DBA may not:

• Contain any word or phrase that indicates that the business is organized for any purpose other than those contained in its application

• Be indistinguishable from any registered name or trademark of record

• Be without the written consent of the United States Olympic Committee, contain the words: "Olympic," "Olympiad," or "Citius Altius Fortius"

• Be without the written consent of the Division of Consumer Protection contain the words: "university," "college," or "institute"

• Contain the words: "incorporated," "inc.," or a variation of "incorporated" or "inc." unless authorized

• Imply by any word in the name that it is an agency of the state if it is not actually so

The DBA, for purposes of recordation, must be either translated into English or transliterated into letters of the English alphabet if it is not in English.

The penalties until these provisions are complied with are one must not sue, prosecute, or maintain any action, suit, counterclaim, cross complaint, or proceeding in any of the courts of this state, and one may be subject to a late filing fee in an amount not to exceed three (3) times the regular fees.

When filing a DBA in Utah, one must provide the name under which the business is, or is to be carried on, conducted, or transacted, the full true name, or names, of the person owning, the person carrying on, conducting, or transacting the business, the location of the principal place of business, and the street address of the person.

The certificate must be executed by the person owning, and the person conducting the business. It must be filed not later than thirty (30) days after the time of commencing to carry on business, and must be filed with the Division of Corporation (even for individuals, partnerships, associations).

An amended certificate must be filed not later than thirty (30) days after any change in the person owning or conducting such business, or a change in the registered agent or office of the business or in any information required to be filed. In Utah, filing is effective for a period of three (3) years from the date of filing. If no new filing is made within thirty (30) days after the date of mailing of notice of expiration, the name is removed from the active index, and placed on a permanent inactive index. Persons doing business under DBA must have registered office and registered agent. For service of process purposes the registered agent is treated as a corporation. If the registered office and registered agent are not designated within thirty (30) days after mailing the notice of lack thereof, the filing will be removed from the active index and placed on the permanent inactive index. The person filing a certificate is presumed to be the registered agent if the person is a resident of Utah and the person's Utah address is presumed to be the registered office.
