Events Requiring Dissolution
In some states, specific events require an LLC to dissolve. Examples include:
- If a set term has expired (if the LLC was only set up for a particular length of time).
- If a member dies and there is no provision for continuation after a member dies.
- In states that require at least two members, if one member withdraws.
If any of the above events happen or other events that are specific to a particular state, the remaining members are usually required to file paperwork and pay a fee to formally dissolve the company.
