To start an LLC in North Carolina, choose a distinguishable name, appoint an eligible registered agent and registered office, and file articles of organization with the North Carolina Secretary of State (SOS). The state’s LLC formation fee is $125. After approval, set up the records, tax accounts, licenses, and other registrations that apply to your business, and calendar the April 15 annual report deadline.

Key takeaways

  • North Carolina LLC formation uses articles of organization and a $125 state filing fee.
  • Choose a distinguishable name and complete separate trademark and domain checks before investing in branding.
  • Every LLC must maintain an eligible registered agent and registered office, and that information is part of the public business record.
  • An employer identification number, Department of Revenue (NCDOR) registration, employer account, license, or permit may be conditional on the LLC’s facts and activities.
  • North Carolina LLC annual reports are due April 15 each year after the year of formation, with a $200 statutory fee.

Step 1: Choose and reserve your North Carolina LLC name

Your name must be distinguishable from the names covered by North Carolina’s business-name rules. A Secretary of State search is an initial availability check, not trademark or domain clearance, so review those separately before investing in branding or filing. Before you file, make sure your preferred business name is available. Search the SOS database with LegalZoom’s free business name search tool. Check your exact preferred name and any variations of it before moving on in the process.

Starting a business? Use our free name check tool to check your business name against North Carolina’s official state records.

By clicking "Check Availability," I agree to LegalZoom's Terms of Use. This search is a preliminary check of state databases and does not include variations or trademarks. Results do not guarantee name availability or compliance with legal requirements.

What are North Carolina’s LLC naming rules?

North Carolina has a few key naming rules that all LLCs must follow for formation documents to be accepted by the state.

  • Distinguishable name: Your name needs to stand apart from relevant names in the Secretary of State’s records. Adding “the” or “LLC” to an otherwise-conflicting name does not necessarily make it distinguishable.
  • Required designator: Include "Limited Liability Company," "Limited Liability Co.," "Ltd. Liability Company," "Ltd. Liability Co.," "L.L.C.," or "LLC."
  • Restricted language and name conflicts: Review the North Carolina naming rules for restricted words and agency-name conflicts.
Can you reserve an LLC name online or by mail in North Carolina?

You can, but it’s not required. North Carolina’s LLC statute and the Secretary of State’s business-registration fee schedule list a $10 fee for an application for a reserved name. However, the Secretary of State’s BE-03 forms index lists the shared business-entity reservation form at $30. Because the official sources do not reconcile those amounts, confirm the fee with the Business Registration Division before filing. The reservation lasts 120 nonrenewable days, and reservation is optional; many founders file once they confirm the name is available.

Step 2: Appoint a North Carolina registered agent

Every North Carolina LLC must continuously maintain a registered office and an eligible registered agent in the state. The registered office and agent information are part of the public business record, so choose an address that doesn’t require privacy.

An infographic describing the meaning of “registered agent.”
What is a registered agent in North Carolina?

A registered agent’s statutory role is to receive and forward notices, process, or demands served on the agent. Annual report reminders, mail scanning, and tax or compliance services may be professional provider offerings, but they are not the agent’s statutory duties. Keep the agent and registered office information current so important notices can reach the company.

Can you be your own registered agent in North Carolina?

Yes. An individual who resides in North Carolina may serve if the required business office and registered office conditions are met. A commercial registered agent may offer privacy and additional mail or compliance services, but those services are provider-dependent. Whoever you name must remain eligible and the company must keep the state record current.

What are North Carolina’s registered agent address requirements?

Your registered agent must meet these requirements.

  • Physical street address: The registered office must use an eligible North Carolina street address; a P.O. box alone is not a registered office.
  • Availability: The registered agent must be able to receive service and official notices at the registered office as required by state law.
  • Eligible agents: Under N.C.G.S. § 55D-30, an eligible agent may be an individual who resides in North Carolina and has a matching business office, or an eligible domestic or authorized foreign entity with a matching business office.
  • Mailing address: You may provide a separate mailing address in addition to the required registered office address.

Do not assume a co-working space or virtual mailbox qualifies. Confirm that the address and agent satisfy the statutory requirements before filing.

What registered agent information becomes public record in North Carolina?

The registered agent’s name and registered office address are available through the Secretary of State’s business records. A commercial registered agent may let you use its business address instead of a home address.

Step 3: File articles of organization with the North Carolina Secretary of State

Your LLC is formed when the filed articles of organization become effective. Complete Form L-01, pay the $125 state filing fee, and submit it to the Business Registration Division. Formation does not by itself complete tax, licensing, banking, or insurance steps, and it does not guarantee liability protection in every circumstance.

How do you register an LLC in North Carolina with the Secretary of State?

The person signing the articles of organization should complete the Form L-01 and submit it with the $125 fee. Before filing, review the form and instructions, confirm the registered office and agent details, identify the signer’s capacity, and verify the available online, mail, and in-person filing options.

What information do you need for North Carolina’s articles of organization (Form L-01)?

he statute and form generally require the following items:

  • Your LLC’s legal name, including the required designator.
  • Organizer and member information: Name and address for each person signing, and whether they’re signing as a member, organizer, or both.
  • Registered agent and registered office: Agent’s name, registered office street address (plus mailing address if it’s different), and county.
  • Principal office address: If you have one (the statute says “if any,” so it’s not mandatory).
  • Professional service designation: Only if it applies.
  • Management language: Include management provisions only as appropriate for the form and the company’s chosen structure.
  • Signer information and signatures: The person signing does not have to be a member of the LLC.

The LLC becomes effective when the filed articles take effect unless you specify a later date on your articles.

What becomes public record when you file in North Carolina?

Information submitted in the articles of organization and later state filings is available through the SOS’ public business records. Only include the required information, as anything else will become public. This is also why many founders choose to hire a registered agent service.

Can you file North Carolina articles of organization online, by mail, or in person?

You can file articles of organization online, by mail, or in person. Confirm the portal, mailing address, payment methods, office hours, and processing estimate before submitting.

  • Online: Use the SOS portal and verify accepted payment methods and the current processing estimate.
  • By mail: Send your form and a check or money order for $125, made payable to the North Carolina Secretary of State, to: NC Secretary of State, Business Registration Division, P.O. Box 29622, Raleigh, NC 27626-0622.
  • In person: The Secretary of State’s Business Registration Division is at 2 South Salisbury Street, Raleigh, NC 27601; verify service hours and same-day confirmation details before visiting.

Expedited processing is optional and separate from the $125 formation fee: $100 for 24-hour processing, excluding weekends and holidays, and $200 for same-day processing when a proper document is received by noon. Reconfirm fees and conditions before filing.

Step 4: Create a North Carolina LLC operating agreement

Once the LLC is formed, an operating agreement can document how the company is owned and managed. It can address voting, contributions, distributions, transfers, member departures, and dissolution. North Carolina’s LLC Act supplies statutory rules for any issues overlooked in an operating agreement. A signed agreement is very helpful to keep in your records, but it does not by itself guarantee liability protection.

Does North Carolina law require an LLC operating agreement?

North Carolina does not require an operating agreement to be filed with the Secretary of State, as it’s an internal governance document. It records ownership, management, voting, contributions, distributions, transfers, and exit terms instead of leaving those decisions to statutory defaults.

What should a North Carolina LLC operating agreement include?

Your operating agreement should include key information about your LLC.

  • LLC formation details: Name, address, business purpose, and registered agent information.
  • Ownership breakdown: Who owns what percentage.
  • Management structure: Member-managed or manager-managed, matching what’s on Form L-01.
  • Voting and decision-making authority: Include how many votes major moves require.
  • Capital contributions and distributions: What each member put in and how profits and losses get split.
  • Transfer and buyout terms: Prepare for when a member sells out, retires, or dies.
  • Dissolution procedures: An agreed upon way for winding things down.

Once agreed upon between all members, the operating agreement stays in your records, and you can update it as needed. If needed, LegalZoom can help draft one for you based on a short questionnaire. See a sample North Carolina LLC operating agreement.

What’s the difference between single-member and multi-member North Carolina LLC operating agreements?

A single-member LLC can use an operating agreement to document ownership and company decisions. A multi-member LLC can use one to reduce uncertainty about voting, money, management, and exits. Keep the agreement and company records consistent; neither document alone guarantees liability protection.

Step 5: Get an EIN and register for North Carolina taxes

After formation, handle the federal and state registrations that apply to your business. An employer identification number (EIN), NCDOR account, unemployment account, license, or permit may be needed—formation alone does not authorize every activity or replace those registrations. Use the IRS and the state tax agency as starting points.

Do you need an EIN for an LLC in North Carolina?

An EIN depends on federal tax classification and facts such as employees or certain federal tax obligations. A single-member LLC may not need one for every federal purpose, but an EIN can still be useful or required for banking, state-tax registration, or other business needs. You can apply directly with the IRS or let LegalZoom file the application on your behalf.

How do you register with the North Carolina Department of Revenue?

Whether you need an NCDOR account depends on the LLC’s actual activities and tax obligations. Form NC-BR can establish accounts for withholding, sales and use tax, and other covered taxes. Register when the business has a covered obligation, rather than assuming every LLC must register. Register online at ncdor.gov.

Does your North Carolina LLC need to collect sales and use tax?

If the LLC sells taxable tangible personal property, taxable services, certain digital property, accommodations, admissions, or other covered items, it may need to collect and remit sales and use tax. Remote sellers with more than $100,000 in North Carolina-sourced gross sales in the current or previous calendar year must register to collect and remit sales and use tax.

There is no fee to apply for a North Carolina sales tax certificate of registration. Keep the registration confirmation and follow NCDOR’s filing and remittance instructions; optional provider assistance is separate from the state registration.

North Carolina LLC costs: Filing fees and ongoing expenses

Forming an LLC in North Carolina starts with the $125 articles of organization fee, followed by the annual report fee and any optional services you choose.

Cost item Amount When it’s due
Articles of organization (Form L-01) $125 At filing
Name reservation (optional) $10 statute and fee schedule; $30 on BE-03 Before filing; confirm amount
24-hour expedited processing (optional) $100 At filing
Same-day expedited processing (optional) $200 At filing
Annual report $200 paper; $203 online by credit card; $202 online by ACH April 15, each year after formation

North Carolina LLC annual report and ongoing compliance requirements

North Carolina LLCs have recurring reporting and record-maintenance obligations after formation. Keep the registered office and agent current, file the annual report on time, and follow the state’s reinstatement process if the company is administratively dissolved.

When is the North Carolina LLC annual report due?

North Carolina LLC annual reports are due by April 15 of the year following the calendar year in which the articles of organization become effective, and by April 15 in each subsequent year. The annual report fee is $200.

The filing window opens January 1, leaving roughly three and a half months to file. New owners often overlook this task, so put it on your calendar with your other compliance requirements. If you’re worried about compliance requirements after formation, LegalZoom can track these deadlines and file your report for you.

Professional LLCs offering licensed services (law, medicine, etc.) are exempt from the annual report requirement under North Carolina law.

What happens if you miss North Carolina’s annual report deadline?

If an annual report is more than 60 days late, the Secretary of State may begin administrative-dissolution procedures under G.S. § 57D-6-06. The Secretary of State sends notice and provides a correction period before dissolution. If dissolution occurs, follow the reinstatement process, address past-due reports and fees, and confirm whether any name issues must be corrected. Check the due date and fee before filing.

The risks of filing your North Carolina LLC on your own

You can prepare and file your North Carolina LLC documents yourself, but state-specific details are easy to miss. These DIY filing risks are worth checking before you submit the formation documents.

  • A North Carolina name can be distinguishable to the Secretary of State and still create trademark or domain problems. Check the state record, relevant trademark sources, and the domain before investing in branding.
  • A registered agent or registered office that stops qualifying can put the LLC at risk of administrative dissolution. North Carolina requires an eligible agent and a matching business office address, and the state record must stay current.
  • An incomplete Form L-01 can delay formation or create an inaccurate public filing. Review the signer’s capacity, registered agent, and county, principal office, if any, professional service designation, if applicable, and any future effective date before submission.
  • Missing North Carolina’s April 15 annual report can lead to administrative dissolution proceedings after the statutory 60-day period. Calendar the deadline and budget for the $200 statutory fee separately from any online payment charge.
  • Skipping a conditional NCDOR, unemployment, license, or permit registration can create compliance problems after formation. Check the LLC’s actual products, services, employees, locations, and industry instead of assuming the formation filing covers every approval.

North Carolina LLC FAQs

Does filing an LLC name protect it as a trademark?

No. North Carolina name approval or reservation addresses availability in the Secretary of State’s records; it does not authorize use that violates federal or state trademark rights. Perform a separate trademark and brand search before investing in the name.

What happens if a North Carolina LLC is administratively dissolved?

The LLC may apply for reinstatement under the Secretary of State’s procedure. Expect to correct the grounds for dissolution and address past-due reports, fees, and any name issue that prevents reinstatement.

Do you need a business license to start an LLC in North Carolina?

North Carolina does not issue one universal business license that replaces conditional state, local, or industry approvals. Check the relevant licensing board and local government for requirements tied to your products, services, location, zoning, health, occupancy, and industry. See how to get a North Carolina business license.

Can someone who lives outside North Carolina form a North Carolina LLC?

Yes. North Carolina’s formation statute allows one or more persons to form an LLC by filing executed articles of organization; it does not make North Carolina residency a condition of formation. The LLC still needs an eligible North Carolina registered agent and registered office, and an out-of-state business may need to evaluate foreign qualification, tax, licensing, or employer requirements based on its activities.

Yes. If you conduct business under a name different from the LLC’s legal name, North Carolina generally treats it as an assumed business name filing. Assumed business name information is searchable statewide, and filers must update it within 60 days after a change. Check the Secretary of State’s instructions for filing details and county designations.
