TERMS AND CONDITIONS.
The following terms and conditions shall define and govern all aspects of this quote and our association.
1. SCOPE OF WORK.
(a) These costs are for single projects only. The total price will increase based on the number and quantity of [Freelance Work] projects.
(b) The agreed hourly rate shall remain confidential. The [Freelancer Name] shall reserve the right to change this rate periodically with advance notice of [Notice Period for Rate Change in Days] day(s). Services rendered during the notice period will be invoiced at the previously agreed-upon rate.
2. PAYMENTS.
(a) The charges will be applicable, as mentioned in the table above, on an hourly basis for the daily rate of work carried out during the business hours from [Freelancer Business Start Time] to [Freelancer Business End Time] on [Freelancer Business Days]. This will be negotiated with [Client Name] prior to commencing work.
(b) [Client Name] shall be invoiced for the payment of every [Invoice Frequency], which should be cleared within [Invoice Due Date in Days] day(s) of receipt of the invoice.
(c) The Payment should be made in USD through [Mode of Payment].
(d) A [Late Payment Fee Percentage] of the pending amount may be charged as a delay in payment charges if no payment is received for a duration of [Final Payment Due in Days] day(s).
(e) The cost of input materials and other costs incurred to carry out the work, such as electricity, transportation, magazine subscriptions, etc., shall be notified in advance and included in the total charges.
(f) Additional charges for extra work shall be applicable.
(g) Special-request works on non-working days and non-working hours shall be subject to acceptance by [Freelancer Name] and shall also be separately chargeable.
3. CANCELLATION AND TERMINATION
(a) Termination Notice
Either party may terminate the services defined in this proposal by providing the other party with a mandatory [Cancellation Notice Period in Days] calendar days' written notice.
The Client must initiate termination by sending a formal email notification to the Freelancer at [Freelancer Email ID]. The effective date of cancellation will be the date the written confirmation is received by the Freelancer.
(b) Termination Financial Obligation
Upon effective termination by the Client, [Client Name] shall be invoiced for all work satisfactorily completed, expenses incurred, and deliverables accepted up to the date of the termination. All such outstanding invoices are payable under the standard payment terms outlined above in the “Payments” section.
(c) Cancellation Without Proper Notice
If the Client terminates the services without providing the minimum [Cancellation Notice Period in Days] days' written notice, the Client shall be liable for the total outstanding fee for the remainder of the notice period in addition to the charges outlined in Section 3(b).
4. INTELLECTUAL PROPERTY.
Unless otherwise agreed in writing, the rights to all intellectual property created from this project shall belong to [Client Name].
